Note: These Terms and Conditions apply to all services provided by Lifecycle Network Services Limited.

By subscribing to, accessing, or using the services of Lifecycle Network Services Limited (“Lifecycle”, “we”, “us”, “our”), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must not use our services.

1. Services Provided

Lifecycle provides network and related IT services, including but not limited to:

  • Network, internet, and connectivity services
  • Managed network and support services
  • Installation and configuration of network equipment
  • Monitoring, maintenance, and fault resolution
  • Associated consultancy and technical advisory services

2. Customer Responsibilities

Customers agree to:

  • Provide accurate and complete information during registration and throughout service use
  • Use the services in compliance with all applicable laws and regulations
  • Not misuse the network, including attempting unauthorized access, distribution of malware, or illegal content
  • Ensure their own equipment and internal network do not interfere with Lifecycle’s network

3. Fees and Payment

All services are subject to the following payment terms:

  • Service fees are as stated in the applicable quotation, invoice, or service agreement
  • Payments must be made on or before the due date indicated on the invoice
  • Late payments may result in service suspension or termination
  • All fees are non‑refundable unless expressly stated otherwise in writing

4. Installation and Equipment

Unless otherwise agreed in writing:

  • Routers, switches, cabling, antennas, and other hardware supplied by Lifecycle remain the property of Lifecycle
  • The Customer shall take reasonable care of all Lifecycle equipment at their premises
  • Lifecycle is not responsible for faults caused by third‑party equipment, power issues, or Customer negligence

5. Acceptable Use

Customers must use the services responsibly and must not:

  • Use the services for unlawful, fraudulent, or harmful activities
  • Interfere with network integrity or security
  • Resell or redistribute the services without Lifecycle’s written authorization
  • Transmit content that infringes the intellectual property rights of others

Lifecycle may suspend or terminate services for any material violation of this Acceptable Use section.

6. Service Availability and SLA

Lifecycle will use reasonable efforts to provide reliable services but does not guarantee uninterrupted availability.

  • Service levels, response times, and remedies (if any) are governed by the applicable Service Level Agreement (SLA)
  • Services may be modified, upgraded, or temporarily suspended for maintenance, security, or operational reasons

7. Suspension and Termination

Either party may terminate an engagement in accordance with the service agreement. In particular, Lifecycle may suspend or terminate services if:

  • The Customer breaches these Terms or the Acceptable Use requirements
  • Payments are overdue beyond the agreed terms
  • Suspension or termination is required by law or regulatory authorities

The Customer remains responsible for fees for services delivered and any expenses incurred up to the effective date of termination.

8. Limitation of Liability

To the maximum extent permitted by law, Lifecycle shall not be liable for:

  • Indirect, incidental, or consequential losses
  • Loss of data, profits, revenue, or business opportunities

Lifecycle’s total liability for any claim related to the services shall not exceed the fees paid by the Customer for the affected services in the preceding three (3) months.

9. Data Protection and Privacy

Lifecycle processes personal data in accordance with its Privacy Policy, which forms part of these Terms.

Customer data will only be processed as necessary to provide and support the services and to meet legal or regulatory obligations.

10. Intellectual Property

All intellectual property rights related to the services, documentation, software, and network infrastructure remain the property of Lifecycle or its licensors.

Customers receive only those rights expressly granted under their service agreement and may not copy, modify, or reverse engineer any part of the services except as permitted by law.

11. Force Majeure

Lifecycle shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, power failures, strikes, industrial disputes, or government actions.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

Lifecycle may update these Terms from time to time. Updated Terms will be made available on Lifecycle’s website or otherwise communicated to Customers. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.
